These Terms of Service ("Terms") govern the relationship between Distribuidora Industrial El Águila S. de R.L., a company incorporated under the laws of the Republic of Honduras ("DIELA", "we", "us", "our"), and any individual or entity ("you", "User", "Client") who accesses or uses the website at dielahn.com or any related services.
By using this website, submitting an RFQ, creating an account, or entering into any business relationship with DIELA, you confirm that you have read, understood and agree to these Terms. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
These Terms apply globally. Additional terms may apply depending on your jurisdiction.
DIELA provides precision CNC machining, plastic injection molding, metal stamping, wire harness fixture manufacturing, mold and tooling design, and technical advisory services ("Manufacturing Services") from facilities located in Tegucigalpa, Honduras.
Through our affiliate SAR Infinity LLC in California, USA, we also provide sales support, logistics coordination, and market access services for North American clients.

Submitting an RFQ via our website does not create a binding contract. An RFQ is an invitation for us to prepare a quotation. No purchase obligation exists on either party until a formal Purchase Order or Manufacturing Agreement has been mutually agreed and signed.
All quotations issued by DIELA are valid for 30 calendar days from the date of issue, unless otherwise specified in writing. Quoted prices are subject to change after this period due to material costs, exchange rates, or production capacity.
You are responsible for ensuring that all technical information, drawings, specifications, quantities and requirements submitted in your RFQ are accurate and complete. DIELA is not liable for manufacturing defects or errors arising from incorrect or incomplete technical data provided by the Client.
All technical drawings, CAD files and proprietary specifications submitted to DIELA are treated as confidential and used exclusively for quotation and manufacturing purposes. See Section 8 (Intellectual Property) for full terms.
A manufacturing engagement is established only when DIELA issues a written Order Confirmation and the Client provides a valid Purchase Order. Verbal instructions, emails without written confirmation, or RFQ submissions alone do not constitute binding orders.
Unless otherwise agreed in writing, standard payment terms are:
Late payments may incur interest charges at the rate permitted under Honduran commercial law. DIELA reserves the right to suspend production or withhold delivery for accounts in arrears.
Lead times indicated in quotations are estimates based on production capacity at the time of quoting. DIELA will make all reasonable efforts to meet stated lead times. We are not liable for delays caused by material availability, supply chain disruptions, force majeure events, or late receipt of approved technical documents from the Client.
Upon receipt of goods, the Client must inspect parts within 10 business days and notify DIELA in writing of any non-conformances. Parts accepted or not inspected within this period are deemed accepted. Returns of custom-manufactured parts are accepted only for genuine manufacturing defects attributable to DIELA.
You may use this website for lawful business purposes only. The site is intended for B2B commercial use — it is not intended for consumers purchasing for personal, household or domestic purposes.

All prices quoted by DIELA are in United States Dollars (USD) unless otherwise stated in the quotation. Quoted prices are exclusive of applicable taxes, import duties, customs fees, freight charges, and insurance unless explicitly included. The Client is responsible for all such additional costs applicable to their jurisdiction and import processes.
Prices on the website, if any, are for informational purposes only and do not constitute an offer to sell at those prices.
All content on this website — including text, images, logos, trademarks, graphic designs, motion graphics, and code — is the property of DIELA or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on this site without our express written permission.
You retain all intellectual property rights in technical drawings, CAD files, designs and specifications that you submit to DIELA. By submitting such files, you grant DIELA a limited, non-exclusive license to use them solely for the purpose of preparing your quotation and, if an order is placed, manufacturing the specified parts or tooling.
DIELA will not use your technical data for any other purpose, share it with unauthorized third parties, or reproduce your designs for sale to others without your prior written authorization.
Unless explicitly agreed otherwise in a written contract, parts manufactured by DIELA to Client specifications belong to the Client upon full payment. DIELA retains the right to reference the general nature of manufacturing work performed (without disclosing confidential technical details) for portfolio and marketing purposes.
DIELA warrants that Manufacturing Services will be performed with reasonable care and skill, and that manufactured parts will conform to the agreed technical specifications at the time of delivery. This warranty does not cover:
Warranty claims must be made in writing within 30 calendar days of delivery. DIELA's sole obligation under this warranty is, at our election, to repair, replace or refund the defective parts.

To the maximum extent permitted by applicable law:
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
DIELA shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, epidemics or pandemics, war, civil unrest, acts of government, power failures, internet outages, transportation disruptions, or supplier failures. We will notify you promptly of any such event and its expected impact on your order.
The website and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. DIELA does not warrant that the site will be uninterrupted, error-free, or free of viruses or harmful components.
Technical information and capability descriptions on this website are provided for informational purposes. They do not constitute technical specifications for any particular manufacturing project, which are determined exclusively through the formal quotation process.

These Terms are governed by and construed in accordance with the laws of the Republic of Honduras, without regard to its conflict of law provisions. For Clients in the United States engaging through SAR Infinity, the laws of the State of California may also apply to the extent required by applicable law.
In the event of any dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to the competent courts of Tegucigalpa, Honduras, unless otherwise required by mandatory consumer protection laws in your jurisdiction.
Nothing in this section prevents you from bringing proceedings in your local courts if mandatory local law requires it. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from these Terms.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after the posting of changes constitutes your acceptance of the revised Terms. For material changes affecting existing contractual relationships, we will provide notice by email where possible.
If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with any applicable quotation, Order Confirmation, and our Privacy and Cookie Policies, constitute the entire agreement between you and DIELA with respect to the subject matter hereof and supersede all prior agreements and understandings.
